Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY NAME] (trading as BankStmt, "we", "us"), registered at [REGISTERED ADDRESS] (company number [COMPANY REGISTRATION NUMBER]). They govern your access to and use of the BankStmt website, application and API (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation.
1. The Service
BankStmt converts bank statements (PDF, scanned images, CSV/OFX/QIF/XLSX) into categorized transactions and provides analytics, summaries, forecasts, fraud signals, tax-oriented reports and a programmatic API. Features vary by plan and may change as the Service develops; we will not materially degrade a paid feature during a paid term without notice.
2. Accounts and security
Authentication is handled by our identity provider. You are responsible for keeping your credentials and API keys confidential and for all activity under your account. You must notify us promptly at security@bankstmt.com if you suspect unauthorised access. You must be at least 18 years old and able to form a binding contract.
3. Your data and your rights in it
You retain all ownership of the statements, documents and data you upload ("Customer Data"). You grant us a limited licence to host, process and display Customer Data solely to provide and support the Service to you. We do not sell Customer Data, use it for advertising, or use it to train third-party AI models. Our handling of personal data is described in the Privacy Policy; where we process Customer Data on your behalf as a processor, the Data Processing Agreement applies.
4. Acceptable use
You may only upload statements and data you are authorised to use. Your use must comply with the Acceptable Use Policy, which forms part of these Terms. We may suspend access for a material breach, for a security risk, or where required by law — with notice where it is lawful and practical to give it.
5. Plans, quotas and fair use
Paid plans include stated allowances (statement pages per month, connected accounts, storage and API requests). Exceeding an allowance returns an error rather than an automatic charge; you can upgrade at any time. Allowances and rate limits exist to keep the Service reliable for everyone and may be enforced automatically.
6. Fees, billing and taxes
Paid plans are billed in advance, monthly or annually, through our payment processor. Fees are stated exclusive of taxes; you are responsible for applicable taxes other than taxes on our income. Subscriptions renew automatically until cancelled. Cancellation, refunds and downgrades are governed by the Refund & Cancellation Policy.
7. API terms
API keys are issued to you and must not be shared or embedded in client-side code. You must respect documented rate limits and must not use the API to build a substantially similar competing service. We version the public API and will give reasonable notice before a breaking change to a stable version.
8. AI-generated output
Categorization, insights, summaries, forecasts, fraud signals, tax figures and loan-affordability calculations are produced with automated and AI-assisted processing. They are provided for information only, may contain errors, and are NOT financial, investment, legal, tax or accounting advice. You are responsible for reviewing output before relying on it, and should consult a qualified professional before making decisions.
9. Intellectual property
The Service, including its software, models, interfaces and documentation, remains our property and that of our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used without restriction or obligation to you.
10. Third-party services
The Service relies on third-party infrastructure and processors listed in the Sub-processors page. We remain responsible for their performance of the services they provide to us, but we are not responsible for third-party services you separately choose to connect.
11. Availability and support
We aim for high availability but the Service is not fault-tolerant and is not designed for use where failure could cause death, personal injury or environmental damage. Any availability commitment applicable to your plan is set out in the Service Level Agreement. Support channels and response targets vary by plan.
12. Warranties and disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that extraction or categorization will be error-free, or that output will reconcile in every case. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid us in the twelve months before the event giving rise to the claim, or one hundred (100) units of the billing currency.
14. Indemnity
You will indemnify us against third-party claims arising from your Customer Data or your use of the Service in breach of these Terms or applicable law, except to the extent the claim arises from our breach.
15. Term, suspension and termination
These Terms apply while you use the Service. You may cancel at any time. We may terminate or suspend for material breach, non-payment, or where required by law. On termination your right to use the Service ends; you may export your data before deletion, and we will delete or return Customer Data as described in the Privacy Policy and Data Processing Agreement. Clauses that by nature should survive, survive.
16. Changes to the Service or these Terms
We may update these Terms. For material changes we will give reasonable advance notice by email or in-app. Continued use after the effective date constitutes acceptance; if you do not accept, you may cancel and receive a pro-rata refund of any prepaid unused period.
17. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live. We encourage you to contact us first so we can try to resolve any dispute informally.
18. General
These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy and (where applicable) the Data Processing Agreement and Service Level Agreement, are the entire agreement between us. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
